import the 3ds into 3dsmax and apply uvw map and then unwrap it and apply the texture in 3ds max, if it applies correctly export it that way. should be ok then. Also dont forget DDS settings like 2 sided and such if they need to be applied.

you didnt map it first, do a uvw map/wrap whatever it was called, forgot the name exactly and too lazy to open max, then set it there to plane if the texture is two sided, then do the unwrap, if it still doesn't like it you might need to redo the texture mapping.

Looks like you did not even do the UVW mapping of your model.

Thats why the texture is messy.

If you want to make it, just do it in 3DSmax (Theres loads of tutos for this just search ^^), then re-export it in .3DS and to .ZMS using Spark's tool, ZMS converter.
